1. Introduction

Welcome to Tipino – a platform designed to support artists fairly based on real listening activity.
By subscribing to and using Tipino, you agree to these Terms of Service (“Terms”), which form a binding agreement between you (“User”, “you”) and Tipino – Association for Fair Artist Support (“Tipino”, “we”, “our”, “us”).

Please read these Terms carefully. If you do not agree, you must not use the service.

2. Purpose of Tipino

Tipino allows users to:

• Subscribe to a monthly plan and allocate contributions to artists they listen to on Spotify or select manually.
• Track monthly payouts to artists based on their listening behaviour or chosen allocation.
• Support music creators transparently, without ads or data exploitation.

Tipino is not a bank, financial service provider, or investment platform.
Funds collected are held solely for the purpose of distribution to eligible artists under Tipino’s rules.

3. Eligibility

You may use Tipino if you:

• Are legally capable of entering binding contracts in your country of residence; and
• Are at least 16 years old, or have the consent of a parent or legal guardian.

By registering, you confirm that all information provided is true and accurate.

4. User Account

To use Tipino, you must create an account.
You agree to:

• Keep your login credentials confidential;
• Provide accurate personal information; and
• Notify Tipino immediately if you suspect unauthorized access.

You may optionally connect your Spotify account. This connection uses Spotify’s official OAuth process.
You can disconnect Spotify at any time without deleting your Tipino account.

5. Subscription and Payments

5.1 Subscription Plans

Users choose a monthly subscription plan (e.g., EUR 5, 10, 15, 50).
The amount is processed via Stripe, our payment provider.
Tipino does not store or process credit card data directly.

5.2 Billing and Renewal

Subscriptions renew automatically each month until cancelled.
You may cancel at any time before the renewal date via your Tipino account.
There are no refunds for partial or unused months.

5.3 Fees and Deductions

• Stripe deducts payment processing fees from each transaction.
• Tipino retains an 8% service fee from the remaining amount to cover operational costs.
• The balance is distributed to eligible artists.
• In referral cases, Tipino reduces its fee to 6%, and 2% of the user’s monthly payment is attributed to the referring user’s pool for redistribution to artists.

5.4 Currency and Taxes

All payments are processed in euros (€) unless otherwise indicated.
Tipino is not responsible for exchange rate differences, bank charges, or user tax obligations.

6. Artist Payouts

6.1 Spotify-based Distribution

If you connect Spotify, Tipino calculates artist payouts based on:

• The total listening time (in minutes or milliseconds);
• Artist eligibility (e.g., 200–500,000 monthly listeners, recent releases, minimum tracks or minutes listened);
• Optional user filters for minimum songs or minutes per artist.

6.2 Manual Artist Selection

Users who do not connect Spotify can manually select up to ten artists and assign percentages of their monthly contribution.

6.3 Combined Distribution

Users can split their contribution between Spotify-based and manually selected artists (e.g., 40/60).

6.4 Default Artist

If no artist qualifies in a given month, the user’s “default artist” receives the full payout.

6.5 Holding Thresholds

Tipino may accumulate artist payouts until a minimum payout amount (e.g., €50) is reached to reduce transaction fees.

7. User Conduct

You agree to use Tipino lawfully and refrain from:

• Manipulating listening data or referral programs;
• Creating multiple accounts to distort payouts;
• Using the service for money laundering or fraudulent activity;
• Infringing intellectual property or privacy rights;
• Disrupting or attempting to hack the platform.

Tipino reserves the right to suspend or terminate accounts that violate these Terms or show suspicious activity.

8. Privacy and Data Protection

Your privacy is governed by our Privacy Policy (accessible on our website).
By using Tipino, you consent to the collection and use of data as described therein.
We comply with the Swiss Federal Data Protection Act (revDSG) and the EU General Data Protection Regulation (GDPR).

9. Third-Party Services

Tipino integrates with third-party services such as:

• Spotify (for listening data);
• Stripe (for payment processing); and
• Drip (for optional newsletters).

Tipino is not responsible for the availability, functionality, or content of these services.
Their own Terms of Service and Privacy Policies apply separately.

10. Intellectual Property

All Tipino content, branding, design, and software are owned by Tipino or licensed to it.
You may use Tipino for personal, non-commercial purposes only.
You may not copy, distribute, reverse-engineer, or commercially exploit any part of Tipino without our written consent.

11. Account Termination

You may terminate your Tipino account at any time.
Upon termination:

• Your subscription ends at the end of the paid period;
• No refunds are issued for past payments;
• Your data is deleted or anonymised in accordance with our Privacy Policy.

Tipino may terminate or suspend accounts:

• That violate these Terms;
• For fraudulent, abusive, or illegal activity; or
• If required by law or technical necessity.

12. Service Availability and Disclaimer

Tipino strives for continuous availability but does not guarantee:

• Uninterrupted access or error-free operation;
• Data completeness or real-time Spotify data delivery;
• Timely payouts from third-party systems.

Tipino is provided “as is” without warranties of any kind.
We are not responsible for temporary outages, data loss, or third-party service interruptions (including Spotify or Stripe).

13. Limitation of Liability

To the maximum extent permitted by law:

• Tipino’s total liability for any claim shall not exceed the total subscription fees paid by the user in the past 12 months;
• Tipino is not liable for indirect, incidental, or consequential damages, including lost profits, data, or goodwill;
• Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by intent.

14. Changes to the Service and Terms

Tipino may modify, suspend, or discontinue parts of the service as necessary.
We may update these Terms to reflect operational or legal changes.
Users will be notified of material changes by email or on the website.
Continued use of Tipino after updates constitutes acceptance of the new Terms.

15. Governing Law and Jurisdiction

These Terms are governed by Swiss law, excluding conflict-of-law principles.
The exclusive place of jurisdiction is Zurich, Switzerland, unless mandatory consumer protection laws specify otherwise.

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
